Service Terms

These Service Terms apply to services provided by Synra Systems.

By purchasing, approving, paying for, or using any Synra Systems service, you agree to these Service Terms.

These Service Terms are intended for business customers only.

1. Who we are

Synra Systems provides automation systems, CRM workflows, lead handling systems, missed-call recovery systems, custom workflow automations, and related services for businesses.

2. Business customers only

Synra Systems provides services to businesses only.

By purchasing or using our services, you confirm that you are acting for business purposes and not as a consumer.

These Service Terms do not apply to consumer purchases.

3. Services covered by these Terms

These Service Terms may apply to:

  • Missed Call Recovery System setup

  • CRM setup and configuration

  • workflow automation

  • lead capture systems

  • booking and reminder systems

  • customer communication systems

  • quote follow-up systems

  • review request flows

  • pipeline automation

  • custom automation builds

  • automation maintenance and support

  • related consulting, setup, testing, and implementation work

The exact services, deliverables, fees, and scope will be set out in a proposal, invoice, order form, written message, or other written agreement between you and Synra Systems.

4. Service scope

Synra Systems will provide the services described in the agreed scope.

Anything not specifically included in the agreed scope is not included.

Additional work, changes, integrations, rebuilds, new automations, new workflows, strategic changes, or requests outside the agreed scope may be charged separately.

Synra Systems may agree to provide additional services, but we are not required to carry out extra work unless it has been agreed.

5. Payment

Unless otherwise agreed in writing, setup fees and project fees must be paid upfront before work begins.

Monthly fees, subscriptions, support fees, platform access fees, and maintenance fees are payable in advance.

Synra Systems is not required to begin, continue, deliver, maintain, or support any service until the relevant payment has been received.

All fees are payable in the currency stated on the invoice or payment page.

You are responsible for paying all fees, taxes, charges, and third-party costs associated with the services unless otherwise agreed in writing.

6. Recurring services and minimum term

Where a service includes a monthly subscription, support plan, maintenance plan, managed system, CRM access, platform access, or ongoing automation service, it is subject to a minimum 3-month term unless otherwise agreed in writing.

After the minimum term, recurring services will continue on a rolling monthly basis unless cancelled in accordance with these Terms.

Monthly fees are payable in advance.

7. Late payment and non-payment

If a payment is late, failed, reversed, disputed, or unpaid, Synra Systems may send payment reminders and request that the outstanding amount is paid.

If payment remains outstanding, Synra Systems may suspend, restrict, or terminate any part of the services.

This may include removing or restricting access to:

  • automations

  • CRM systems

  • sub-accounts

  • phone numbers

  • messaging systems

  • workflows

  • integrations

  • support

  • platform access

  • account access

  • system maintenance

If services are suspended or terminated due to non-payment, Synra Systems is not responsible for any disruption, missed messages, missed leads, lost opportunities, system downtime, business interruption, or loss arising from that suspension or termination.

You remain responsible for all unpaid amounts.

Synra Systems may charge reasonable reactivation, restoration, or setup fees if suspended services are later reactivated.

8. Refund policy

Unless otherwise agreed in writing, all payments are final.

Setup fees, project fees, service fees, and subscription fees are non-refundable once work has started, planning has begun, access has been created, systems have been configured, third-party costs have been incurred, or services have been made available.

This strict refund policy applies because Synra Systems provides custom business services, configuration work, automation setup, system design, and access to third-party platforms.

Any refund, credit, discount, or goodwill gesture is at the sole discretion of Synra Systems unless expressly agreed in writing.

9. Timelines

Any timelines, launch dates, setup periods, delivery estimates, or completion dates discussed by Synra Systems are estimates only unless expressly stated as guaranteed in writing.

Timelines may depend on:

  • receiving payment

  • receiving required information

  • receiving platform access

  • receiving approvals

  • third-party platform availability

  • phone, email, domain, or verification processes

  • technical limitations

  • changes to scope

  • client responsiveness

  • third-party delays

Synra Systems is not responsible for delays caused by missing information, delayed approvals, third-party platforms, verification delays, technical issues, or events outside our reasonable control.

10. Client responsibilities

You are responsible for:

  • providing accurate business information

  • providing correct contact details

  • providing access to relevant platforms, accounts, tools, domains, phone numbers, or systems where needed

  • responding to requests for information, feedback, and approvals

  • reviewing systems and notifying us of issues

  • ensuring your own business complies with applicable laws and regulations

  • ensuring you have the right to contact your leads, customers, prospects, and contacts

  • ensuring your messaging, offers, claims, and business practices are lawful

  • ensuring any data, content, customer information, or materials you provide can lawfully be used for the services

  • maintaining your own internal business processes, staff training, and customer handling practices

  • using the systems responsibly and lawfully

Synra Systems is not responsible for issues caused by inaccurate information, missing access, delayed responses, unlawful use, incorrect business data, client-side errors, or your failure to follow instructions.

11. Approvals, testing, and revisions

Synra Systems may provide systems for review, testing, or approval before or after launch.

You are responsible for reviewing the system and notifying us of any issues within a reasonable time.

Synra Systems will take reasonable steps to correct issues that prevent the agreed system from working as intended, provided those issues are within the agreed scope.

Revisions required to make the agreed system function as intended are included where they are reasonable and within scope.

Requests outside the agreed scope may be charged separately. This may include, but is not limited to:

  • new automations

  • new workflows

  • additional integrations

  • major design changes

  • new messaging sequences

  • additional pipeline stages

  • new booking flows

  • new CRM structures

  • changes caused by a client changing their process, offer, business model, or requirements

  • changes caused by third-party platform limitations or policy changes

Synra Systems will determine, acting reasonably, whether a requested change is within scope or additional work.

12. Delivery and acceptance

A project or service may be considered delivered when Synra Systems has set up, configured, provided access to, or made available the agreed system, workflow, account, automation, or deliverable.

A project may also be considered delivered when Synra Systems notifies you that setup is complete or ready for review.

If you use the system, approve the system, fail to raise issues within a reasonable time, or continue receiving the benefit of the system, the service may be treated as accepted.

Acceptance does not prevent Synra Systems from correcting genuine technical issues within the agreed scope.

13. Third-party platforms and costs

Synra Systems may use third-party platforms, tools, software, services, APIs, communication providers, hosting providers, CRM platforms, calendar tools, phone systems, email providers, SMS providers, payment processors, analytics tools, advertising platforms, or other external services to deliver the services.

Third-party costs are separate unless expressly included in the agreed scope.

You may be responsible for costs including, but not limited to:

  • CRM or platform access

  • phone numbers

  • call charges

  • SMS charges

  • voicemail or messaging charges

  • email sending costs

  • domain names

  • hosting

  • integrations

  • API usage

  • software subscriptions

  • verification fees

  • advertising platform costs

  • payment processor fees

  • any other third-party charges required for the services

Third-party providers may change their fees, terms, features, availability, policies, or technical requirements at any time.

Synra Systems is not responsible for increases in third-party costs or changes made by third-party providers.

14. Third-party failures and deliverability

Synra Systems is not responsible for failures, restrictions, delays, outages, policy changes, account suspensions, deliverability issues, or technical problems caused by third-party platforms or providers.

This includes, but is not limited to:

  • CRM platform outages

  • phone number verification delays

  • SMS filtering

  • carrier blocking

  • email spam filtering

  • email deliverability issues

  • domain problems

  • API failures

  • advertising platform restrictions

  • account reviews

  • platform policy changes

  • integration failures

  • hosting issues

  • internet or network failures

  • third-party data loss

  • changes to third-party features or pricing

Synra Systems may help investigate or resolve third-party issues where reasonable, but we cannot guarantee that third-party services will work without interruption or that messages, calls, emails, automations, or integrations will always be delivered successfully.

15. CRM, sub-accounts, and platform access

Synra Systems may build or manage systems inside third-party platforms, including CRM sub-accounts or managed accounts.

Unless otherwise agreed in writing, access to any Synra-managed CRM, sub-account, automation, workflow, phone system, or platform environment depends on an active subscription, support plan, or service agreement with Synra Systems.

If your subscription or service agreement ends, access to the relevant systems may be suspended, restricted, or removed.

Synra Systems may provide reasonable assistance with data export where appropriate and where technically possible, but we are not required to transfer ownership of templates, workflows, automation logic, system structures, or platform configurations unless expressly agreed in writing.

16. Ownership and intellectual property

You retain ownership of:

  • your business data

  • your customer and lead data

  • your business name, brand assets, and materials

  • information, content, or assets you provide to Synra Systems

Unless otherwise agreed in writing, Synra Systems retains ownership of:

  • automation frameworks

  • workflow structures

  • CRM configurations

  • system logic

  • templates

  • sequences

  • process designs

  • documentation created by Synra Systems

  • strategy frameworks

  • implementation methods

  • reusable assets

  • technical know-how

  • internal processes

  • system architecture

  • any materials created before, during, or after the service that are not specific client-owned data

Where Synra Systems gives you access to a system, workflow, automation, sub-account, CRM, or deliverable, you receive a limited, non-exclusive, non-transferable licence to use it for your own internal business purposes while the relevant service, subscription, or agreement remains active.

You must not copy, resell, reproduce, reverse engineer, share, transfer, recreate, or commercially exploit Synra Systems templates, workflows, automations, frameworks, or system structures without written permission.

17. Data protection

Each party agrees to comply with applicable data protection laws.

Where you provide Synra Systems with personal data relating to your customers, leads, prospects, staff, or other contacts, you are responsible for ensuring that you have a lawful basis to provide that data and to use it in connection with the services.

Where Synra Systems processes personal data on your behalf and under your instructions, Synra Systems may act as a processor and you may act as the controller.

You are responsible for the accuracy, lawfulness, and compliance of the data and instructions you provide.

Synra Systems may use third-party platforms and service providers to process data as part of delivering the services.

You must not provide Synra Systems with sensitive, special category, unlawful, excessive, or unnecessary personal data unless it has been expressly agreed and is legally appropriate.

Synra Systems may require additional data processing terms, security terms, or a separate data processing agreement where appropriate.

18. Marketing, messages, and compliance

If the services involve sending SMS messages, emails, voicemail drops, calls, reminders, follow-ups, review requests, marketing messages, or customer communications, you are responsible for ensuring that those communications are lawful and appropriate for your business.

This includes ensuring that:

  • recipients can lawfully be contacted

  • required consents or lawful bases are in place

  • messages are accurate and not misleading

  • required opt-out mechanisms are included where needed

  • your use of the system complies with applicable marketing, privacy, consumer protection, industry, and communications laws

  • offers, claims, pricing, guarantees, and statements are accurate and substantiated

Synra Systems may help configure communication systems, but you remain responsible for how your business uses them and for the content of messages sent on behalf of your business.

19. Results disclaimer

Synra Systems builds systems designed to improve workflows, reduce manual work, support better lead handling, improve follow-up processes, and streamline business operations.

However, business results depend on many factors outside our control, including your market, offer, pricing, sales process, response times, staff, customer demand, competition, advertising, reputation, and business operations.

Unless a specific written guarantee is expressly agreed by Synra Systems in separate written terms, a proposal, or a signed agreement, we do not guarantee:

  • revenue increases

  • sales

  • leads

  • bookings

  • conversion rates

  • customer acquisition

  • cost savings

  • profit

  • rankings

  • deliverability

  • response rates

  • business growth

  • any particular commercial outcome

Any examples, estimates, projections, potential outcomes, or marketing statements are illustrative only and are not guarantees.

20. Support and maintenance

Where support, maintenance, or ongoing management is included, the scope will be set out in the agreed service, subscription, or proposal.

Unless otherwise agreed in writing, support and maintenance may include reasonable assistance, minor adjustments, troubleshooting, system checks, and fixes related to the agreed system.

Support and maintenance do not include unlimited work.

The following may be charged separately:

  • new systems

  • major rebuilds

  • additional automations

  • new integrations

  • new campaigns

  • new CRM structures

  • strategic changes

  • major copy changes

  • redesigns

  • work caused by third-party platform changes

  • work caused by client-side changes

  • urgent out-of-hours work

  • support outside the agreed scope

21. Cancellation

Recurring services may be cancelled after the minimum term by giving 30 days’ written notice unless otherwise agreed in writing.

Cancellation does not remove your responsibility to pay fees due before the cancellation takes effect.

If a service is cancelled, Synra Systems may suspend or remove access to relevant automations, CRM systems, sub-accounts, managed platforms, phone numbers, workflows, support, and related services.

Setup fees, project fees, and fees already paid are non-refundable unless otherwise agreed in writing.

22. Confidentiality

Each party may receive confidential information from the other.

Confidential information may include business information, systems, processes, strategies, customer information, pricing, technical information, login details, workflows, commercial plans, and other non-public information.

Each party agrees to take reasonable steps to keep confidential information secure and not disclose it to third parties except where necessary to provide or receive the services, comply with the law, use professional advisers, or operate the relevant systems.

This clause does not apply to information that is already public, independently developed, lawfully received from another source, or required to be disclosed by law.

23. Case studies, reviews, and testimonials

Synra Systems may ask clients for reviews, testimonials, feedback, or case study permission.

We will not publicly use your business name, logo, identifiable results, identifiable screenshots, or detailed case study information without your permission.

Synra Systems may use anonymised or generalised project information, feedback, service descriptions, lessons, examples, or non-identifying results for marketing, portfolio, internal, or educational purposes, provided this does not identify your business or disclose confidential information.

If you leave a public review on a third-party platform, such as a review site, directory, social media platform, or marketplace, Synra Systems may reference, display, quote, or link to that public review in marketing materials, unless doing so would be misleading or unlawful.

24. Non-solicitation

During the service relationship and for 6 months after it ends, you agree not to knowingly solicit, hire, or attempt to hire any contractor, supplier, employee, or representative introduced to you by Synra Systems in connection with the services, unless agreed in writing.

25. Limitation of liability

Nothing in these Terms limits or excludes liability where it would be unlawful to do so, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

Subject to the above, Synra Systems will not be liable for:

  • loss of profits

  • loss of revenue

  • loss of sales

  • loss of leads

  • loss of bookings

  • loss of business

  • loss of opportunity

  • loss of goodwill

  • loss of data

  • business interruption

  • wasted expenditure

  • indirect or consequential loss

  • losses caused by third-party platforms

  • losses caused by non-payment suspension

  • losses caused by inaccurate information provided by you

  • losses caused by your failure to use, manage, or respond to the system properly

Subject to the above, Synra Systems’ total liability arising from or relating to the services will be limited to the amount paid by you to Synra Systems for the specific service giving rise to the claim during the 3 months before the claim arose.

26. Indemnity

You agree to indemnify Synra Systems against losses, claims, damages, liabilities, costs, and expenses arising from:

  • your unlawful use of the services

  • your breach of these Terms

  • inaccurate or misleading information you provide

  • unlawful or non-compliant communications sent using the systems

  • your failure to obtain required permissions, consents, or lawful bases

  • your breach of data protection, marketing, consumer protection, or communications laws

  • claims made by your customers, leads, prospects, staff, or third parties relating to your business, data, messages, offers, or use of the services

27. Force majeure

Synra Systems will not be liable for delays or failures caused by events outside our reasonable control.

This may include:

  • third-party platform outages

  • internet or telecoms failures

  • hosting failures

  • power outages

  • cyber incidents

  • illness

  • strikes

  • accidents

  • natural disasters

  • government action

  • legal or regulatory changes

  • supplier failures

  • payment processor issues

  • verification delays

  • events beyond our reasonable control

28. Changes to services and terms

Synra Systems may update these Service Terms from time to time.

The version that applies to your purchase will normally be the version in force when you purchase, approve, or renew the relevant service, unless a change is required by law, platform requirements, security needs, or a change in the services.

We may also update, improve, change, suspend, or discontinue parts of the services where reasonably necessary.

29. Entire agreement

These Service Terms, together with any proposal, invoice, order form, written agreement, or written scope agreed between you and Synra Systems, form the agreement between you and Synra Systems for the relevant services.

If there is a conflict between these Service Terms and a specific written proposal, invoice, order form, or signed agreement, the more specific written terms will apply to the extent of the conflict.

30. Governing law

These Service Terms are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction over any dispute arising from or connected with these Service Terms or the services.
